Basic Requirements for Incorporation
• 1 company secretary
• paid-up capital of RM1
• 1 subscriber to shares of company.
• 1 director of at least age 18 and a resident of Malaysia
• registered office in Malaysia for communication and administrative purposes
Incorporation Process
1. Application for name search
- The name chosen should be desirable and should not be similar to any existing one.
2. Submission of document
- The original copy of the Memorandum and Articles of Association are each to be stamped for RM100. This is the stamp duty determined by the Inland Revenue Board’s stamp office.
Incorporation Document
• Original copy of the Memorandum and Articles of Association
• Form 48A Statutory Declaration by a director
• Form 6 - Declaration of Compliance
• Original copy of Form 13A
• Copy of the letter from SSM approving the name of the company
• Copy of the identity card of each director and company secretary.
3. Payment of Registration Fees
4. Issuance of Certificate
Upon compliance with the incorporation statutes and procedures, SSM will issue a certificate of incorporation. Payments must be made on time, as must the submission of documents required.
