किसी भी #startup के लिए एक proper business structure को select करना एक complicated task होता है। नए business entrant के लिए मुश्किल है ये पता लगाना कि कौन सा structure उसके Business के लिए perfect होगा। आइए जानते हैं वो उन चार parameters के बारे में जो हमें #legalstructure choose करने में help करते हैं-

• Applicable taxes
• Quantum of compliances

इन parameters को ध्यान में रखते हुए आप एक बार #businessStructures को analyze करें और अपना decision लें।

पाँच business structures जो हमारे legal framework में available हैं, वो हैं-
• Private limited company
• Limited liability partnership
• Sole proprietorship
• One person company
• Public limited company

Generally #LLP, #OPC और sole proprietorship उन startups की पहली पसंद होते हैं जिनके पास partners कम होते हैं और operation का limited scope होता है। इसके ठीक विपरित public limited और private companies का legal structure उन entities के लिए अच्छा है जो large scale पर अपना business run कर रहे हैं और larger workforce रखते हैं।

अगर आप अपनी private company या OPC या public limited company को register करना चाहते हैं तो आपको Ministry of Corporate Affairs के official portal पर जाना होगा और apply करना होगा।
दोस्तों legal structure को figure out करने में अगर आपको कोई भी दिक्कत होती है तो आपको professionals की help लेनी चाहिए।

Secure business-specific licenses
आपको कौन कौन से licenses और permits चाहिए, ये पूरी तरह से आपकी industry type पे depend करता है।

GST Registration
अगर आपके business का annual turnover 40 lakh से zyada है तो #GSTRegistration आपके लिए mandatory है। (North east और hilly regions में business करने वालों को 10 lakh और ज्यादा के annual turnover पर GST Registration कराना पड़ता है)

Import Export Code issued by #DGFT
इसकी ज़रूरत उन businesses को पड़ती है जो EXIM domain से जुड़े होते हैं। भारत में सभी exporter और importer को DGFT से ये license लेना पड़ता है। इस License को लेने के लिए एक e-form और requested fees जमा करना होता है।

FSSAI License
Food sector में deal करने वाले सभी businesses के लिए #FSSAI license ज़रूरी है। Business का scope, annual turnover, और production capacity वो eligibility criteria हैं जिनके basis पे FSSAI food license provide करती है।
FSSAI के online portal #FOSCOS पर जाके इस license के लिए apply कर सकते हैं।

Shop & Establishment License
Shop & Establishment License State के labour department के द्वारा issue किया जाता है। हर commercial establishment के लिए इस license को लेना अनिवार्य है।

BIS Registration
#BIS का full form होता है Bureau of Indian Standard. ये एक government institution है जो electronic goods के manufacturers को govern करता है। वो manufacturers जो electronic items के business में involve हैं, उनके लिए BIS Registration mandatory है।

Additional Licenses
MSME Registration
Ministry of Micro, small and Medium Enterprises, #MSMERegistration offer करती है। वैसे तो यह Registration कराना mandatory नहीं है, फिर भी अगर आप ये कराते हैं तो आपके business को government की schemes का भरपूर लाभ मिल सकता है।

Trademark Registration
ये registration कराना या ना कराना पूरी तरह से owner pe depend करता है। #TrademarkRegistration आपके business को एक unique identity देता है। ये owner को exclusive right देता है उनके logo, design और sign के लिए।इस registration को कराके आप अपने Trademark को protection provide कर सकते हैं। एक बार registration कराने के बाद, owner का trademark 10 साल के लिए सुरक्षित रहता है।

NDA यानी Non-disclosure agreement मतलब दो parties या entities के बीच written contract जिसका main objective होता है sensitive information को protect करना और share ना होने देने।
