Within the dynamic landscape of the securities market in India, listed companies need to collaborate with various Intermediaries and Fiduciaries to ensure the attainment of their objectives including day-to-day functioning. In the course of providing their services, the Intermediaries and Fiduciaries inevitably come into possession certain Unpublished Price Sensitive Information (UPSI) pertaining to such Listed Companies.
Recognizing the potential misuse of such information by these entities, SEBI has laid down several compliances under the SEBI (Prohibition of Insider Trading) Regulations 2015 to be adhered by these entities. These compliances among others, include the maintenance of a Structured Digital Database and formulating a Code of Conduct to regulate, monitor, and report trading by Designated Persons and their Immediate Relatives, maintenance of a Restricted List, aimed at mitigating such risks.
