Business owners have fiduciary duties to follow. These fiduciary responsibilities include the fiduciary duty of loyalty and the duty of good faith. And if they breach this fiduciary duty, they can be in big trouble.

This also applies if your business is a foreign corporation. You may also want to spell this out in your shareholders agreement. If you do, you may avoid partnership disputes with your general partner, amongst others as well.
